"REASON FOR SPECIAL MEETING" - DO NOT FORGET TO ATTEND TUESDAY AUGUST 19 @ 6:30 at DEERFIELD CLUB HOUSE

The Persons Requesting the Special Meeting, who have initiated and supported the petition, are neighbors in good standing of The Greens HOA.

The issue addressed in our petition regarding The Greens HOA board is that they are not "elected" by the members in accordance with our by-laws.

Our entire board has been "appointed." At our last general meeting in January 2008, we did not have a quorum based on HOA members attending the meeting or proxy ballots collected.

The HOA board should have called another general meeting within 30 days from the failed January 2008 meeting for the purpose of conducting HOA business including electing new board director/members. We had two director/officers who were at the end of their 2-year terms who instead "appointed" themselves to another 2-year term. We now have several very qualified HOA member candidates willing to serve if elected and an HOA membership quorum who are in support of holding elections for new HOA board directors at this time.

You can pull up our website http://www.nashborogreens.com/ (HOA Website) and view the inactivity/lack of board meeting minutes posted this year in comparison to 2006 and 2007. If board meetings have been held (4 a year/1 each fiscal quarter are required), we are unable to obtain this information from the current HOA board after repeated requests.

We attended the general meeting in January 2008 and only 5 voting HOA members attended. We attended a board meeting on July 17, 2008 and delivered a petition to request a Special Meeting for the purpose of: (1) removing our HOA board of director/officers who are serving beyond their 2-year elected terms and (2) hold elections to fill these vacancies with new "elected" HOA board directors.

This petition was termed not "legal" by the current HOA board due to insufficient valid signatures. We declined to argue this point and instead re-petitioned the HOA members to sign a new petition for the same purpose; to call a Special Meeting as stated above. We obtained 22 signatures on the new petition (a quorum) and delivered the petition to the HOA board in the prescribed manner on 08/09/08.

We need to stay in compliance with our by-laws. Good participation in HOA activities by the members provides oversight to our HOA board of directors and property manager. Our HOA board is "elected" to serve us, the members, and transact the business of the association and enforce the Covenants, Conditions and Restrictions (CCRs) ensuring the value of our property through maintenance of the "Area of Common Responsibility" and our homes.
